It all (taxes, fees, and laws) depends on which US state you incorporate in. Some states have more favorable tax laws, depending upon your needs. All the states I'm familiar with require you to have a physical presence in that state, even if it is just a maildrop or PO box.

State laws require all corporations and Limited Liability Companies (LLCs) to maintain a registered address with the Secretary of State in each state where they do business. The person or company located at that address, known as the Registered Agent, must remain available during all business hours. A Registered Agent receives and forwards important legal documents and state correspondence on behalf of the business. Most companies that set up companies for you (i.e. The Company Corporation) will provide Registered Agent services. This allows you to incorporate in states like Nevada or Delaware where filing fees are very low.
