I've been asked to draft an NDA for myself regarding the work I'm doing for a client. Does anyone know of a good example or template I can use? This is just a safety formality, not protection from an acrimonious relationship.

I'm not sure if you've come across it before, but there's an example here. About two thirds down the page, there's a set of links to six other examples as well.

There must be several variants of NDA depending on what it is you want to protect. Is it a one-way or two-way NDA? Make sure to define how long it lasts, and what happens afterwards. And reclaim all documents and info when the other party breaches the NDA. :)

Nobody reads the damn things anyway - in the first one I wrote (i.e. pinched from another company and changed a few words to protect the guilty) I included a paragraph about sacrifice of the first-born for breaches. No-one ever commented, and it was always signed.

I'm going to make damn sure it is two way, and will exclude the disclosure of any general software development knowledge I gain from the project, as well an any other knowledge I gain during the project that is not directly related to the product or the marketing of the product. :)

                1. Confidentiality No party may disclose or inseminate in whole or in part any of the details of the projects and documentation involved in this Agreement. All parties must use reasonable care to protect the trade secrets of the other parties involved in this agreement, including but not limited to the use of proper mind-reading prevention devices (such as Tin-Foil Hats), anti-truth-serum injections, and use of certified ESP prevention devices when dealing with outside parties. 2. Dispute Resolution If a dispute arises regarding this Agreement, the parties must first try to resolve the dispute with the help of a mutually agreed on Medium, who must be a certified medium or witch-doctor in the state of ____. In the event that the Medium cannot negotiate a compromise, resolution of the dispute will be resolved by a sword-fight ("Duel"), governed by the laws of the state of _____. The prevailing party will be entitled to reasonable compensation for medical expenses resulting from the resolution of the dispute, as well as indenturement of the other party's first-born son.
