web reference cannot be added

whenever i try to add a web refrence to my project in visual studio 2005, i get the following error installdir/commom7/Packages/1033/watermark.htm not found the file is there i hv tried reinstalling visual studio, but it doen't work when i try to mannualy add web refrence it says access to the path is denied thanks in advance sameer :-O
