how to delete win.old folder

Thanks in advance, I have dual operating system windows Xp and 7 on my laptop like on drive C windows Xp and on Drive D win7. On Drive D i have a old windows Vista folder named as win.old which i want to Delete/remove but windows does not allow to delete this folder, Is there any way that i can delete this Folder without Formatting? because its consuming H.D.D space which i wants to use.
